The specific scope, deliverables, timeline, and fees for any engagement will be outlined in a separate written proposal, service agreement, or statement of work between KHAMNAI and the Client. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement will govern for that engagement.
3. Eligibility & Accounts
By using our website or services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. If we provide you with access to any client portal, dashboard, or reporting tool, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4. Client Responsibilities
To deliver effective digital marketing services, we rely on timely cooperation from our clients. You agree to:
- Provide accurate, complete, and timely information about your business, products, or services
- Grant necessary access to website platforms, analytics, ad accounts, and social media accounts required to perform the agreed services
- Review and approve deliverables (content, campaigns, designs) within a reasonable timeframe
- Ensure that any content, trademarks, or materials you provide to us do not infringe on the rights of any third party
- Make payments in accordance with the agreed fee schedule
Delays caused by the Client’s failure to provide access, approvals, or information may extend project timelines without penalty to KHAMNAI.
5. Fees & Payment
Fees for services will be set out in your Service Agreement or invoice. Unless otherwise agreed in writing:
- Invoices are due within [Insert Number] days of the invoice date
- Late payments may be subject to a late fee of 20% per month or the maximum permitted by law
- Third-party costs (advertising spend, software licenses, domain/hosting fees, stock assets) are billed separately or passed through at cost, unless stated otherwise
- KHAMNAI reserves the right to pause work on any account with an outstanding balance

6. Intellectual Property
Upon full payment for a deliverable (such as website code, ad creative, or written content produced specifically for the Client), ownership of that specific deliverable transfers to the Client, except for:
- Pre-existing tools, templates, frameworks, or proprietary processes owned by KHAMNAI, which remain our property and are licensed to the Client for use in connection with the delivered work only
- Third-party assets (stock photography, licensed plugins, fonts) which remain subject to their original licensing terms
KHAMNAI retains the right to display completed work in its own portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing.
All content on the KHAMNAI website — including text, graphics, logos, and the “KHAMNAI Tech Solutions” name and mark — is the property of KHAMNAI Tech Solutions and may not be copied or reproduced without permission.
7. Confidentiality
Each party agrees to keep confidential any non-public business, financial, or strategic information disclosed by the other party during the course of the engagement, and to use such information solely for the purpose of fulfilling the Service Agreement. This obligation survives the termination of any engagement for a reasonable period, as further defined in your Service Agreement.
8. No Guarantee of Results
Digital marketing outcomes — including search engine rankings, traffic, leads, conversions, and advertising performance — are influenced by factors outside our control, including search engine algorithm changes, market competition, ad platform policies, and Client-side factors. While KHAMNAI applies industry best practices to every campaign, we do not guarantee specific rankings, traffic volumes, lead counts, or revenue outcomes, unless explicitly stated in a signed Service Agreement.
9. Third-Party Platforms
Our services may involve the use of third-party platforms (such as Google, Meta, LinkedIn, or other advertising and analytics tools). KHAMNAI is not responsible for outages, policy changes, account suspensions, or data losses caused by these third-party platforms, and your use of them remains subject to their own terms of service.
10. Limitation of Liability
To the fullest extent permitted by law, KHAMNAI Tech Solutions, its owners, and employees will not be liable for any indirect, incidental, special, or consequential damages — including loss of profits, revenue, data, or business opportunity — arising from your use of our website or services. Our total liability for any claim arising out of a Service Agreement will not exceed the total fees paid by the Client to KHAMNAI in the 1-month period preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless KHAMNAI Tech Solutions from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your infringement of any third-party rights through content or materials you provide to us.
12. Termination
Either party may terminate an ongoing Service Agreement in accordance with the notice period specified in that agreement. KHAMNAI reserves the right to suspend or terminate services immediately in cases of non-payment, misuse of our services, or a breach of these Terms. Termination does not relieve the Client of the obligation to pay for services already rendered.
13. Governing Law
